HERDMASTER TERMS OF USE

These Terms of Use (the "Terms") are a binding agreement between you and HerdMaster LLC, an Oregon limited liability company ("HerdMaster," "we," "us," or "our").

Scope. These Terms govern the HerdMaster iOS application and the online services HerdMaster provides solely to support that application (collectively, the "App"). They do not govern a separate website or a separate web-based service unless that service expressly adopts these Terms.

Affirmative Acceptance. The App presents these Terms for affirmative acceptance. The acceptance screen states: "By selecting 'Agree and Continue,' you agree to the HerdMaster Terms of Use." The words "HerdMaster Terms of Use" link to https://herdmaster.app/terms, and the acceptance button is labeled "Agree and Continue." By selecting "Agree and Continue," you affirmatively accept the version of these Terms presented on that screen. If you do not agree, do not select the button and do not create or maintain a HerdMaster account.

1. ELIGIBILITY AND ACCOUNTS

1.1 Age and Account Eligibility. You must be at least 18 years old to create or maintain a HerdMaster account.

1.2 Account Responsibility. You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. Notify HerdMaster promptly at support@herdmaster.app if you believe your account has been compromised.

1.3 Accurate Account Information. You agree to provide account information that is accurate and current and to update it when reasonably necessary to keep it accurate.

2. APP STORE LICENSE AND PERMITTED USE

2.1 Apple Standard EULA. For a copy of the App obtained through Apple's App Store, the license to use the App is governed by Apple's Standard End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. HerdMaster is not supplying a custom App Store EULA for this version. These Terms supplement, and do not replace, Apple's Standard EULA. If these Terms and Apple's Standard EULA cannot be reconciled on a matter concerning the App Store license itself, Apple's Standard EULA controls to that extent.

2.2 Permitted Use. Subject to these Terms and the Apple Standard EULA, you may use the App for lawful herd-management, breeding-record, show-record, and related livestock-management purposes.

2.3 Restrictions. You may not reverse engineer, decompile, or disassemble the App except to the extent applicable law prohibits that restriction; rent, lease, lend, sublicense, or redistribute the App except as permitted by Apple; remove or obscure proprietary notices; use the App to build a competing product through unauthorized access to the App or its nonpublic systems; interfere with or place undue load on the App or its infrastructure; bypass access, security, subscription, or entitlement controls; or access the App by automated means except as HerdMaster expressly permits.

2.4 Lawful Use. You may not use the App to facilitate conduct that violates applicable animal-welfare, breeding, ownership, registration, show, sale, import, export, or other legal requirements or binding event or registry rules. HerdMaster does not verify your compliance with those requirements.

3. USER DATA AND RECORDS

3.1 User Data. As between you and HerdMaster, you retain ownership of the herd records, animal information, pedigree information, notes, files, photos, payment-request records, and other content you submit to or create in the App ("User Data").

3.2 Limited Operational License. You grant HerdMaster a limited, nonexclusive, worldwide license to host, copy, process, transmit, and display User Data only as reasonably necessary to operate, secure, maintain, troubleshoot, and provide the App; carry out export or sharing actions you initiate; process payment-request links you direct the App to create; comply with law; and enforce these Terms. This license ends when the relevant User Data is deleted from HerdMaster's active systems, subject to retention described in the Privacy Policy or required by applicable law.

3.3 Rights and Permissions. You represent that you have the rights and permissions necessary to submit User Data and to use App features to export or disclose it.

3.4 Record Accuracy. HerdMaster does not independently verify animal ownership, registration status, pedigree accuracy, show eligibility, payment status, or the accuracy of user-entered records.

3.5 Records and Documents. Reports, pedigrees, backups, show records, payment-request records, and other documents generated by the App reflect User Data and the App's processing of that data. Unless expressly stated otherwise, they are not official registry records or certificates and do not establish ownership, identity, pedigree, show eligibility, regulatory compliance, payment, or any particular biological or genetic status.

4. BACKUPS AND EXPORTS

4.1 Herd Backup. The App may allow you to create a backup of supported HerdMaster data in a JSON-based .herdbackup file. You are responsible for the security and storage of a backup after you export it from systems controlled by HerdMaster.

4.2 Pedigree PDF. The App may generate a pedigree PDF locally on your device and allow you to preview, print, or export it through the standard iOS share sheet. HerdMaster does not receive a copy merely because you generate the PDF on your device. Once you export or share a copy, the destination, recipient, or service you choose controls that copy.

4.3 Third-Party Storage. HerdMaster does not control third-party storage providers or copies you create outside the App. You are responsible for deciding where exported files are stored and with whom they are shared.

5. PLANS, PURCHASES, SUBSCRIPTIONS, AND INTRODUCTORY TRIALS

5.1 Launch Plans. HerdMaster may offer the Hobby, Breeder, and Show Breeder plans. Hobby is a free plan and is subject to a cumulative limit of 10 animals created in the account. Breeder and Show Breeder may be offered through Apple as auto-renewing monthly or annual subscriptions and may also be offered through separately identified one-time, non-consumable purchases. The purchase screen identifies the plan, access provided, price, billing period or one-time nature of the purchase, and any other transaction-specific terms before you purchase.

5.2 Auto-Renewing Subscriptions. Monthly and annual subscriptions are purchased through Apple's In-App Purchase system. Unless canceled, an auto-renewing subscription renews for the applicable subscription period at the price shown by Apple, subject to Apple's rules and any notice or consent required by applicable law. Payment is charged to your Apple Account.

5.3 Cancellation and Billing. You may manage or cancel renewal through your Apple Account or App Store subscription settings. Canceling renewal generally stops future renewals; access ordinarily continues through the end of the then-current paid period, subject to Apple's applicable policies and law. Apple administers subscription billing and refunds under its applicable policies.

5.4 Introductory Trial. Eligible new customers may receive one 14-day introductory trial for a Breeder or Show Breeder auto-renewable subscription. The trial provides the tier selected at enrollment. Unless canceled through Apple before the trial ends, the selected subscription begins at the price displayed by Apple and renews according to its stated billing period until canceled.

5.5 One-Time Purchases. A one-time, non-consumable purchase does not automatically renew. The product name, access associated with the purchase, and price are shown by Apple before purchase.

5.6 Entitlement Service. HerdMaster may use RevenueCat or another entitlement service to reflect purchase and subscription-status information made available through Apple and to enable the access associated with your purchase. That service does not separately charge you.

6. PROMOTIONS AND COMPLIMENTARY ACCESS

6.1 Promotions. HerdMaster may offer discounts, promotional codes, or complimentary access subject to the eligibility, duration, redemption limits, and other conditions stated with the offer. App Store redemption and billing remain subject to Apple's applicable terms.

6.2 Complimentary Access. HerdMaster may provide complimentary access to specified paid features for the period and on the conditions stated when the offer is presented. Complimentary access does not enroll you in a paid subscription and does not automatically convert to a paid subscription merely because the complimentary period ends. You will not be charged solely because a complimentary period expires. Continued paid access requires a separate purchase through the applicable Apple purchase flow.

6.3 Separate Written Grants. A separate written complimentary-access grant is governed by its own terms to the extent of any conflict with this Section 6. This Section does not establish how a separately granted benefit is restored after account deletion.

7. CHANGES, SUSPENSION, TERMINATION, AND ACCOUNT DELETION

7.1 App Changes. HerdMaster may update or change future App features. During a current paid subscription period, HerdMaster will provide the paid service as marketed for that period, subject to temporary outages and changes required by law or Apple. If HerdMaster cannot do so, any refund or other remedy required by Apple or applicable law will apply.

7.2 Suspension or Termination. HerdMaster may suspend or terminate access if you materially breach these Terms, if required by law, or if reasonably necessary to protect the App, other users, or third parties.

7.3 Account Deletion. You may stop using the App at any time and may request account deletion through the App. Account deletion is handled as described in the Privacy Policy.

7.4 App Store Subscription After Account Deletion. Deleting your HerdMaster account does not cancel an auto-renewable subscription purchased through the App Store. Apple manages that subscription separately, and billing can continue until you cancel the subscription through Apple. To prevent future renewal charges, cancel the subscription before deleting your HerdMaster account. You may still delete the HerdMaster account immediately without first canceling the subscription.

7.5 Restore Purchases. Deleting a HerdMaster account ends access under that deleted account. If you later create a new HerdMaster account while signed into the same Apple App Store account and an eligible App Store purchase or subscription remains restorable, the App may allow you to use Restore Purchases to reassociate that Apple purchase with the new HerdMaster account. Restoration remains subject to Apple's purchase record, the App's restoration functionality, and any product-specific conditions disclosed for the purchase.

8. COMPUTED, PREDICTIVE, AND HYPOTHETICAL OUTPUT

8.1 Computed and Hypothetical Output. The App may calculate, estimate, model, predict, or display outputs derived from User Data, reference data, assumptions, or computational rules, including coefficients, probabilities, predicted traits, hypothetical relationships, and hypothetical pairing results. These outputs are informational estimates, not guarantees of genetic, breeding, show, or other real-world outcomes. Actual outcomes may differ because source data may be incomplete or inaccurate and because inheritance, expression, phenotype, environmental conditions, breeding outcomes, and other real-world variables may not match the assumptions used by the App.

8.2 User Responsibility. You are responsible for verifying information material to your decisions and for deciding whether and how to breed, pair, select, show, sell, retain, or care for an animal. Do not rely on any single App output as the sole basis for a material breeding or animal-management decision.

8.3 Coefficients. Inbreeding or linebreeding coefficients are mathematical estimates derived from pedigree information available to the App and the calculation method used by the App. They are not direct measurements of an animal's genome and do not guarantee genetic diversity, fertility, health, or any breeding result.

8.4 Trait Predictions. Color or trait predictions are probability-based outputs based on entered or assumed genotype information and the inheritance rules implemented in the App. Results may differ because genotype information may be unknown, incomplete, or incorrect and because unrecorded genes, modifiers, breed-specific rules, and biological variation may affect actual phenotype.

8.5 Hypothetical Pairings. A hypothetical pairing or pedigree is a modeled scenario only. It does not represent an actual mating, litter, registration, or pedigree event.

8.6 Health Records. Health fields are recordkeeping fields. The App does not generate a diagnosis, prescription, or treatment recommendation.

8.7 Calendar and Tradition-Based Content. The App may display moon-phase or similar tradition-based calendar information as a convenience. HerdMaster does not represent that moon phase predicts fertility, conception, kindling, litter size, sex, health, or any other animal or breeding outcome.

9. PAYMENT REQUESTS AND THIRD-PARTY SERVICES

9.1 Payment Requests. Payment Requests is a recordkeeping and link-generation feature only. HerdMaster does not process, receive, hold, or transmit funds and does not independently confirm, reconcile, refund, or otherwise verify any payment. Any payment status shown in HerdMaster, including "Paid," is selected by the user and is not confirmation by HerdMaster that funds were sent or received.

9.2 Permitted Payment-Request Use. Payment Requests may be used for breeder-to-customer transactions involving physical goods or services consumed outside HerdMaster, such as livestock, deposits for livestock, stud services, or equipment. Payment Requests may not be used to buy HerdMaster subscriptions, unlock App functionality, or purchase digital content consumed in the App. HerdMaster digital access must be purchased through Apple's In-App Purchase system where Apple requires that system.

9.3 Third-Party Payment Links. HerdMaster may allow you to create, open, or share links to PayPal or Venmo using a payment destination and amount you provide. HerdMaster is not PayPal or Venmo, does not authenticate to either service on your behalf, does not process or verify payments, and is not responsible for the availability, terms, privacy practices, fees, or payment decisions of those services. Your use of PayPal or Venmo is subject to the applicable third party's terms and policies.

9.4 Other Third-Party Services. The App may interoperate with third-party services, including Apple's App Store, RevenueCat, CloudKit, and services used to operate HerdMaster's backend. Your use of third-party services may also be governed by their own terms and privacy practices. HerdMaster is not responsible for third-party services to the extent responsibility cannot lawfully be attributed to HerdMaster.

10. INTELLECTUAL PROPERTY

The App, including its software, design, text, graphics, and other content supplied by HerdMaster, and all associated intellectual property rights, are owned by HerdMaster or its licensors. These Terms do not transfer ownership to you. HerdMaster's names, logos, and product names are its marks and may not be used without permission except as permitted by applicable law.

11. SUPPORT

Support is available at support@herdmaster.app. HerdMaster does not guarantee any particular response or resolution time except to the extent required by applicable law.

12. APPLE APP STORE

12.1 Relationship to Apple. Apple is not a party to these Terms. HerdMaster, not Apple, is responsible for the HerdMaster account and services governed by these Terms.

12.2 Apple Terms. You must comply with applicable Apple terms when using the App, including Apple's Standard EULA, Apple Media Services Terms and Conditions, and applicable Usage Rules.

12.3 Apple Purchases. Apple controls App Store billing, subscription-management, purchase-history, and refund processes. Nothing in these Terms changes rights or obligations that apply between you and Apple under Apple's terms.

12.4 No Reduction of Rights. Nothing in these Terms is intended to limit any right or remedy that cannot lawfully be limited or that Apple separately grants you under the Standard EULA.

13. DISCLAIMER OF WARRANTIES

THE APP AND HERDMASTER SERVICES GOVERNED BY THESE TERMS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERDMASTER DISCLAIMS WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND THAT THE APP OR ANY OUTPUT WILL BE ERROR-FREE OR MEET YOUR REQUIREMENTS. THIS DISCLAIMER DOES NOT EXCLUDE ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

14. LIMITATION OF LIABILITY

14.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERDMASTER AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OR CORRUPTION OF DATA, LOSS OF BREEDING OPPORTUNITY, OR LOSS OF EXPECTED ANIMAL OR LITTER VALUE, ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

14.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERDMASTER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE APP, SUBSCRIPTIONS, OR IN-APP PURCHASES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

14.3 Nonwaivable Liability. Sections 14.1 and 14.2 do not apply to liability that cannot be limited or excluded under applicable law.

14.4 Independent Copies. You are responsible for maintaining appropriate independent copies of User Data you consider important.

15. GOVERNING LAW AND COURTS

15.1 Governing Law. These Terms and disputes arising out of or relating to these Terms or HerdMaster services are governed by Oregon law, without regard to conflict-of-laws rules, except to the extent applicable nonwaivable law provides otherwise.

15.2 Non-Exclusive Courts. A dispute may be brought in any state or federal court that has subject-matter jurisdiction over the dispute and personal jurisdiction over the parties. These Terms do not require a dispute to be brought in Oregon.

15.3 Nonwaivable Rights. Nothing in these Terms waives or limits a right, remedy, forum, protection, or defense that cannot lawfully be waived or limited by agreement.

16. CHANGES TO THESE TERMS

16.1 Revised Terms. HerdMaster may revise these Terms. Each published version will identify its version identifier, Posting Date, and Effective Date.

16.2 Notice and Acceptance. If HerdMaster presents revised Terms for affirmative acceptance, the App will identify the revised Terms and present the applicable acceptance control. Acceptance of this launch version occurs only through the affirmative mechanism described above. A revised version does not retroactively alter rights or obligations that accrued before its Effective Date except to the extent required by law or separately agreed.

17. VERSION, POSTING DATE, EFFECTIVE DATE, AND ARCHIVE

17.1 Version Identifier. The version identifier for these Terms is HM-TERMS-2026-08-24-v1.0.

17.2 Posting Date. These Terms are posted on August 22, 2026.

17.3 Effective Date. These Terms take effect on August 24, 2026. Posting a version before its Effective Date does not make that version effective before the stated Effective Date.

17.4 Canonical URL. The current published Terms are available at https://herdmaster.app/terms.

17.5 Immutable Archive. Each version accepted through the App is preserved as an immutable archived copy using that version's identifier. When a later version becomes effective, the superseded version remains retrievable and is not altered after publication. This version remains retrievable at https://herdmaster.app/terms/archive/HM-TERMS-2026-08-24-v1.0.

18. GENERAL

18.1 Privacy. HerdMaster's collection, use, disclosure, storage, and retention of personal information are described in the HerdMaster App Privacy Policy.

18.2 Severability. If a provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.

18.3 Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

18.4 Assignment. You may not assign these Terms without HerdMaster's written consent. HerdMaster may assign these Terms in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of the assets or business to which these Terms relate, subject to applicable law.

18.5 Headings. Headings are for convenience and do not limit the meaning of these Terms.

18.7 Entire Agreement. These Terms, together with transaction-specific terms shown at the point of purchase and the Apple Standard EULA to the extent applicable to the App Store license, constitute the agreement governing the matters they address. The Privacy Policy describes HerdMaster's data practices. If a transaction-specific term conflicts with these Terms on a matter specific to that transaction, the transaction-specific term controls for that transaction, subject to applicable law.
